1. RFP PURPOSE

1. Invitation

Wisconsin Public Service Corporation (WPSC) is seeking competitive offers in response to this RFP from qualified parties (“Responders”) for Firm Physical Energy through Bidwell Energy’s Bidwell Exchange. Please see below for the full details for this Request. The Auction will be held on June 16, 2026, at 11:30 am ET (10:30 am CT).

Responses to this RFP shall only be accepted through the web-based Bidwell Energy Auction. In order to participate in this RFP, all Bidders are required to execute a Bidder Agreement with Bidwell Energy. 2. Products

WPSC is seeking competitive offers through a reverse auction for the following products detailed in the table below.

Minimum Price Increment: $0.01

3. RFP Schedule

The events described in this RFP shall occur according to the following timeline:

2. AUCTION INFORMATION

1. Auction Instructions

Offers will only be accepted through Bidwell Energy’s (“Bidwell”) Exchange. The Auction will be held at https://bidwellexchange.com (the “Auction Website”).

All registered and authorized Participants shall be provided a password to access the Auction Website. Responders who fail to timely satisfy all the Document Requirements in section 3 of this RFP will be denied access to the Auction Website and such Responders will not be able to participate in the Auction.

The Awarded Bidder(s) will be assessed a fee of $0.19/MWh for awarded quantities from this auction. All offers submitted must be inclusive of this fee. The fee structure for this auction is fixed. For details on the terms of this fee structure please consult your Bidder Agreement with Bidwell Energy.

2. Platform Demonstration

A demonstration of the Bidwell Exchange will be held per the schedule above. Your participation in this demonstration is mandatory if you are interested in participating in the auction and have not participated in a previous auction. The demonstration will be self-directed, and you will be able to sign in at any point during the demonstration window to practice bidding. The demonstration should take between 5-15 minutes of your time to complete. Demonstration materials will be sent out the morning of the demonstration.

3. RFP REQUIREMENTS

1. Documents

Notice of Intent (NOI) Email: All recipients of this RFP who intend to participate in the Auction as a Bidder are required to submit an email stating their intention to participate (NOI) per the schedule in this RFP, including indicative pricing and volumes for each product you are interested in. This Notice is non-binding and by itself does not create any obligation for the Bidder, WEC, or Bidwell with respect to this RFP, the Auction, and/or any transaction that may result. Please send your Notice via email to Elisabeth Bottomley of Bidwell Energy at [email protected]. Please include in the subject line “WPSC NOTICE OF INTENT.”
Contract/Credit: Successful bidders will enter into contracts that have been previously approved by both WPSC and the successful Bidder(s). Credit limits will be in accordance with credit that has been approved by the customer for each bidder. If you do not already have a NAEMA or EEI agreement in place with WPSC, please reach out to Kim Brewer at [email protected] as soon as possible to start that process.

Bidder Agreement: In order to participate in this RFP, all Bidders are required to execute a Bidder Agreement with Bidwell Energy. If you are unsure of your registration and/or agreement status with Bidwell Energy, please contact Elisabeth Bottomley at (860) 370-5420 or [email protected].

2. Offer Acceptance Period and Award Period

WPSC expects to announce the winning Participant(s) as soon as possible after the close of the Event. Typical award time is within 5 minutes following the end of the auction.

All offers submitted through the Bidwell Energy Exchange will be considered executable through the award period. WPSC reserves the right to select any offer(s) or no offer(s) submitted in response to this RFP in WPSC’s sole discretion. That determination may not necessarily be based on the best offered price but may take into account other factors. WSPC reserves the right to reject any and all offers from potential suppliers responding to this solicitation for any reason or for no reason.

Once a Bidder has been notified of their award(s), WPSC will work with awarded Bidder(s) to execute transaction confirmation(s), supported by the North American Energy Markets Association (“NAEMA”) Tariff -or- the Edison Electric Institute (“EEI”) Master Agreement, containing all relevant and pertinent terms and conditions.

3. Preparation Costs

All costs directly or indirectly related to preparation of a response to this RFP or any oral presentation required to supplement and/or clarify an offer and/or any related activity following the submission of any such offer which may be required by WPSC shall be the sole responsibility of the Bidder(s). All parties agree to take reasonable precautions and use reasonable efforts to maintain the confidentiality of both the RFP issuance as well as any subsequent responses. Exceptions will be considered for regulatory filing requirements of either WPSC or the respondent.

4. No Warranties

WPSC makes no representation or warranty, express or implied, as to the accuracy or completeness of any information contained herein or otherwise provided to any Participant by or on behalf of WPSC. WPSC shall have no liability relating to or arising from any offer information or the use thereof. Participants are encouraged to conduct their own investigation and analysis of any and all information contained herein or otherwise provided by or on behalf of WPSC.

No Bidder will have any claim whatsoever against WPSC, its employees, officers, or consultants arising from, in connection with, or in any way relating to this RFP. Without limiting the generality of the foregoing, each Bidder agrees, by and through its submission of a bid, that rejection of a bid will be without liability on the part of WPSC, its employees, officers, or consultants, nor shall a Bidder seek recourse of any kind against any of the foregoing on account of such rejection. The filing of a bid shall constitute an agreement of the Bidder to each and all of these conditions.

5. Authorized Negotiator

All winning Bidders shall provide the name, address and telephone number of the person in their organization authorized to negotiate the contract terms and render binding decisions on contract matters.
